Terms and Conditions

Welcome to Lumi Learning (“Lumi,” “we,” “us,” or “our”). These Platform Terms & Conditions / Terms of Service (“Terms”) are a legally binding agreement between you and Lumi Learning and govern your access to and use of Lumi’s websites, booking tools, communications systems, virtual tutoring sessions, and related content, features, and services (collectively, the “Platform” or “Services”).
PLEASE READ CAREFULLY. By (a) accessing or using the Platform, (b) creating an account, (c) submitting a booking request, (d) booking or participating in a tutoring session (“Session”), (e) communicating with Lumi or any Tutor through Lumi-approved channels, or (f) clicking to accept these Terms, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree, do not use the Platform.

If you are a Parent or Legal Guardian and you permit a minor Student to use the Services or you book a Session for a Student, you agree to these Terms for yourself and on behalf of the Student, and you represent and warrant that you have the legal authority to do so. Unless the context requires otherwise, “you” and “your” refer to the user of the Services and, where applicable, the Parent/Guardian and Student collectively.

These Terms include limitations of liability and other provisions that affect your legal rights.

1. Definitions
For purposes of these Terms:
“Student” means the learner receiving tutoring (typically K–8), who may be a minor.
“Parent/Guardian” means the Student’s parent or legal guardian (or an adult authorized to consent on the Student’s behalf).
“Family” means the Parent/Guardian and Student together.
“Tutor” means a volunteer individual who provides tutoring through Lumi.
“Session” means a scheduled virtual tutoring meeting arranged through the Platform.
“No-Show” means a Session in which the Student does not attend, cancels too late to reasonably reassign the Tutor, or joins more than ten (10) minutes late without notice, as determined by Lumi in its reasonable discretion.
“Teacher Advisor” means an individual who may provide occasional, informal advice to Lumi’s student leadership team as described in Section 7.
“Lumi Leadership” means Lumi’s internal leadership team members and authorized program administrators or volunteers who support operations and safety oversight.
“Content” means all text, graphics, photos, videos, audio, messages, files, and other materials made available on or through the Platform.
“User Content” means Content you submit, transmit, upload, or otherwise provide through the Platform (including booking information, messages, files shared in Sessions, and feedback).
“Third-Party Services” means third-party tools and services that enable parts of the Platform (e.g., scheduling, web hosting, video conferencing, analytics, messaging, forms).

2. Who We Are; Nature of the Services
2.1 Organizational Purpose
Lumi Learning is a registered 501(c)(3) nonprofit organization that facilitates free, virtual academic support for Students through volunteer Tutors, primarily high school students who tutor younger Students.
2.2 What Lumi Provides
Lumi provides a platform and program structure that may help Families:
-
discover and request/book free virtual tutoring Sessions;
-
be matched with available Tutors based on volunteer availability;
-
receive program communications related to scheduling and participation;
-
access certain safety and quality measures described in these Terms.
2.3 What Lumi Does Not Provide
Lumi does not:
-
guarantee availability of Sessions, any specific schedule, or any specific Tutor;
-
guarantee Tutor continuity across Sessions;
-
guarantee academic results, grades, test scores, or outcomes;
-
provide professional services such as medical, psychological, counseling, crisis intervention, legal, or other regulated advice;
-
operate as a school, district program, accredited institution, or substitute for professional educators;
-
provide childcare, custody, or supervision of Students.
2.4 No Educational Record / School Relationship
Lumi is not a school and does not maintain official academic records, transcripts, IEPs, or grades. Any educational support is informal and supplemental.

3. Eligibility; Accounts; Consent; Authority
3.1 Age Requirements
You must be at least 13 years old to create an online account or use account-based Platform features. If a Student is under 13, the Parent/Guardian must complete the booking process and accept these Terms.
3.2 Parent/Guardian Consent for Minors
If the Student is under 18, the Parent/Guardian represents and warrants that they:

consent to the Student’s participation in Sessions and use of the Platform;
-
will ensure the Student complies with these Terms and all posted policies;
-
understand that virtual tutoring is not supervision or childcare;
-
understand that Tutors are volunteers, often minors, and not licensed educators.
3.3 Accurate Information
You agree to provide accurate, complete, and current booking, contact, and Student information and to keep it current. You are responsible for all actions taken through your account/booking credentials and for all activity attributable to you or your Student.
3.4 Prohibited Use by Ineligible Persons
You may not use the Platform if you are barred from using the Services under applicable law or if your access has been suspended or terminated by Lumi.

4. Critical Disclosures (Read Carefully)
By using Lumi, you acknowledge and agree that:
-
Tutors are volunteers and are not Lumi employees, contractors, or agents.
-
Your Student may have different Tutors across Sessions.
-
Lumi does not provide childcare or supervision and does not assume custody or control of Students.
-
The Teacher Advisor (if any) has no operational role and accepts no responsibility or liability for Lumi’s Platform or Sessions.
-
Sessions may be monitored, and certain Sessions may be recorded if optional recording features are enabled and you consent (Section 12).
-
Lumi is designed for learning support and skill-building; Tutors should not complete graded work for Students (Section 14).
-
All online interactions carry inherent risks; Families must exercise appropriate judgment and supervision.

5. Volunteer Tutors; No Employment; No Agency
All tutoring through Lumi is provided by Tutors on a strictly volunteer, unpaid basis. Tutors:
-
are not employees, contractors, agents, partners, or representatives of Lumi;
-
have no authority to bind Lumi or create obligations on Lumi’s behalf;
-
are not entitled to wages, benefits, or employment status of any kind.
No Agency. Nothing in these Terms creates an agency, employment, joint venture, or partnership relationship between Lumi and any Tutor.

6. Program Rules; Policy Incorporation
Lumi may post or provide additional program policies, rules, or guidelines (including but not limited to safety rules, recording rules, booking rules, and conduct standards). Those policies are incorporated by reference into these Terms to the extent they do not conflict with the Terms. If there is a conflict, these Terms control.

7. Teacher Advisor: Solely Advisory; No Operations; No Liability
7.1 No Operational Role
Lumi may identify one or more Teachers who serve as a Teacher Advisor. Families acknowledge and agree that the Teacher Advisor:
-
provides occasional, informal advice upon request;
-
does not manage or operate Lumi;
-
does not supervise or direct Tutors;
-
does not schedule Sessions or administer bookings;
-
does not create, approve, or enforce policies;
-
does not conduct investigations, discipline, hiring, or training;
-
does not control platform tools, finances, communications, or quality assurance.
7.2 No Duty; No Liability
To the maximum extent permitted by law, the Teacher Advisor has no duty of care and assumes no responsibility or liability for any claims related to Lumi participation, the Platform, Tutors, Students, Sessions, or Third-Party Services. Any claim must be brought against Lumi only (subject to Lumi’s limitations and disclaimers), and not against the Teacher Advisor.

8. Booking, Matching, Attendance, and Scheduling
8.1 Matching and Tutor Assignment
Lumi matches Students with Tutors based on volunteer availability and scheduling factors. Tutor continuity is not guaranteed. A Student may work with different Tutors from Session to Session.
8.2 Attendance and Punctuality
Families agree to ensure the Student joins Sessions on time and prepared. If a Student is late or absent:
-
the Tutor may wait a brief courtesy period (typically up to ten (10) minutes) and may end the Session thereafter; and
-
the Session may be marked as a No-Show.
8.3 Missed Sessions; No-Shows; Enforcement
Two (2) or more missed Sessions or No-Shows may, at Lumi’s discretion and without further obligation:
-
result in cancellation of future Sessions;
-
limit or revoke booking privileges (including recurring bookings);
-
lead to temporary or permanent suspension or removal from the Platform; and/or
-
result in placement on a waitlist or requirement to confirm attendance by additional steps.
Lumi’s enforcement decisions are made to protect volunteer time, ensure fairness to other Families, and maintain program integrity.
8.4 Cancellations and Changes
Families should cancel or reschedule as early as possible through Lumi-approved channels. Repeated late cancellations, repeated reschedules, or failure to communicate may be treated similarly to missed Sessions.
Lumi may reschedule, reassign Tutors, or cancel a Session due to Tutor availability, technical issues, safety concerns, operational needs, or suspected policy violations.
8.5 Communication Expectations
Families are responsible for monitoring Lumi-approved communication channels (including email) for Session information, updates, and notices. Failure to receive or read messages does not excuse missed Sessions or noncompliance.
8.6 Technology and Learning Environment
Families are responsible for:
-
reliable internet and appropriate device access;
-
a quiet, safe, and reasonably private learning environment; and
-
age-appropriate supervision as needed.
Lumi is not responsible for connectivity issues, device problems, or disruptions in the Student’s environment.

9. Family Responsibilities; Student Supervision; Conduct
9.1 Supervision
Lumi provides tutoring, not supervision. Families are solely responsible for deciding the appropriate level of supervision based on the Student’s age and needs, including being present nearby where appropriate.
9.2 Student Conduct
Students must behave respectfully and appropriately. Prohibited behavior includes:
-
harassment, threats, bullying, discriminatory language, or sexual content;
-
intentionally disruptive behavior or misuse of tools (chat, screen share, whiteboards);
-
attempts to obtain Tutors’ personal contact information or off-platform communication;
-
sharing highly sensitive personal information.
9.3 Safety and Appropriate Use
Families agree not to use Lumi for emergencies or crisis situations. If there is immediate danger, contact emergency services.

10. Tutor Conduct Protections Families Should Understand
Lumi expects Tutors to follow a Tutor Code of Conduct. Families should understand these core protections:
10.1 Boundaries and Appropriate Topics
Tutors must maintain professional boundaries and avoid sensitive personal topics unrelated to academics.
10.2 Approved Channels Only; No External Contact
Tutors may not share or request personal phone numbers, private emails, social handles, or personal meeting links. All communications must remain within Lumi-approved channels. Families agree not to solicit or encourage off-platform contact.
10.3 No In-Person Meetings
Tutors may not meet Students or Families in person in connection with Lumi unless expressly authorized in writing by Lumi and the Parent/Guardian.
10.4 No Gifts, Payments, or Side Arrangements
Tutors cannot accept money or gifts or solicit private tutoring. Families agree not to offer compensation or request “private” arrangements.
10.5 Academic Integrity
Tutors support learning and understanding. Tutors may not complete graded work on behalf of Students or facilitate academic dishonesty. Families agree not to request that Tutors complete graded work.
10.6 Content Safety
Tutors are expected to use age-appropriate educational content and avoid unapproved tools that collect Student data.

11. User Content; Session Materials; Permissions
11.1 Your Responsibility for User Content
You are responsible for User Content you provide, including files shared during Sessions, messages, and information submitted in bookings. You represent and warrant that you have all rights necessary to provide User Content and that it does not violate law or third-party rights.
11.2 Limited License to Lumi
You grant Lumi a limited, non-exclusive, royalty-free license to use User Content solely to operate, provide, maintain, and improve the Services (including scheduling, communications, safety oversight, quality review, and program administration). Lumi does not sell User Content.
11.3 Prohibited Content
You agree not to submit User Content that is unlawful, abusive, hateful, sexually explicit, exploitative of minors, or that infringes intellectual property rights.

12. Session Monitoring; Recordings; Privacy of Sessions
12.1 Leadership Drop-Ins
Lumi Leadership may join Sessions for safety, compliance, training, or quality oversight. By using the Platform, you consent to such drop-ins.
12.2 Optional Session Recordings
Lumi may offer an optional “Session Recordings” feature. If recording is enabled for a Session:
-
the Session may be recorded (audio/video/chat/screen share);
-
recordings may be used for safety and quality assurance and may be shared securely with the Family; and
-
recordings will be retained for a limited time consistent with Lumi’s internal practices, after which they may be deleted.
By participating in a Session where recording is enabled, you consent to recording.
12.3 No Unauthorized Recording by Families
Unless required by law or expressly authorized in writing by Lumi, Families agree not to record, screenshot, distribute, publish, or post Session content that includes a Tutor or identifying information.
12.4 Privacy Limitations
Virtual sessions occur through internet-based tools and may involve Third-Party Services. Lumi cannot guarantee absolute privacy or security. Families acknowledge these inherent risks.

13. Privacy; Data Practices; Security
13.1 Privacy Principles
Lumi strives to minimize the collection and retention of personal data. However, all online services carry risks. Families acknowledge the inherent privacy and security risks of internet-based services.
13.2 Student Information
Families agree not to provide unnecessary sensitive personal information (e.g., medical details, Social Security numbers). Tutors are instructed not to store Student data outside Lumi’s systems.
13.3 Account Security
You are responsible for maintaining the confidentiality of access credentials and for activities performed through your account.
13.4 Third-Party Services
The Platform may integrate Third-Party Services. Those providers may have their own terms and privacy policies. Lumi is not responsible for Third-Party Services’ practices.

14. Educational Disclaimer; No Guarantees; Not Professional Advice
14.1 Educational Support Only
The Services are provided for educational support and practice. Lumi does not guarantee academic outcomes.
14.2 No Professional Advice
Nothing on the Platform constitutes medical, psychological, counseling, legal, or other professional advice.
14.3 No IEP/504 Compliance
Lumi does not represent that it can implement or comply with any specific IEP/504 accommodations. Families remain responsible for obtaining appropriate professional educational services where needed.

15. Assumption of Risk
Families understand that virtual tutoring involves inherent risks, including technology failures, misunderstandings, third-party outages, and human error. By using Lumi, you voluntarily assume these risks to the maximum extent permitted by law.

16. Disclaimers of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LUMI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Some jurisdictions do not allow certain disclaimers; in such jurisdictions, disclaimers apply to the greatest extent permitted by law.

17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LUMI AND ITS DIRECTORS, OFFICERS, VOLUNTEERS, EMPLOYEES (IF ANY), AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATING TO THE PLATFORM OR ANY SESSION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Aggregate Cap. To the fullest extent permitted by law, Lumi’s total aggregate liability for any claim arising out of or relating to the Services will not exceed the amount you paid to Lumi for the Services in the six (6) months preceding the event giving rise to the claim. Because Services are generally free, this amount may be $0.
Some jurisdictions do not allow certain limitations; in such jurisdictions, liability is limited to the greatest extent permitted by law.

18. Indemnification
You agree to defend, indemnify, and hold harmless Lumi and its directors, officers, volunteers, employees (if any), agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or relating to:

your or your Student’s use of the Services;
-
your breach of these Terms;
-
your violation of law or the rights of any third party;
-
your interactions with Tutors or Third-Party Services; or
-
your User Content.

19. Acceptable Use; Prohibited Conduct
You agree not to:
-
use the Platform for unlawful purposes;
-
attempt unauthorized access, interfere with Platform operations, or introduce malware;
-
harass, exploit, threaten, or harm a minor;
-
solicit Tutors for off-platform contact or services;
-
misrepresent identity or authority; or
-
violate any program rules.
Lumi may suspend or terminate access for violations.

20. Suspension; Termination; Removal
Lumi may suspend or terminate access to the Platform, cancel Sessions, restrict bookings, or remove Students from the program when reasonably necessary for safety, compliance, repeated missed Sessions, suspected policy violations, abuse of the Services, program integrity, or operational needs. Families may discontinue use at any time.
Reinstatement, if offered, is at Lumi’s sole discretion and may require additional conditions or review.

21. Intellectual Property
Lumi’s trademarks, branding, website materials, and Content are protected by law. You may use Platform materials only for personal, noncommercial purposes related to Sessions and may not reproduce or distribute them without written permission.

22. Third-Party Services and Links
The Platform may integrate Third-Party Services. Lumi does not control these providers and is not responsible for their acts, omissions, outages, or terms. Your use of Third-Party Services may be governed by separate terms and privacy policies.

23. Changes to These Terms
Lumi may revise these Terms at any time by posting an updated version on its website. Continued use after posting constitutes acceptance.

24. Governing Law; Venue
These Terms are governed by the laws of the State of Illinois and applicable U.S. federal law, without regard to conflict-of-law principles. Any dispute shall be brought exclusively in state or federal courts located in Illinois, and you consent to jurisdiction and venue there.

25. Miscellaneous
Severability: If any provision is unenforceable, the remainder remains in effect.
No Waiver: Failure to enforce a provision is not a waiver.
Entire Agreement: These Terms are the entire agreement regarding the Services and supersede prior terms.
Assignment: You may not assign these Terms without Lumi’s written consent. Lumi may assign these Terms in connection with a merger, reorganization, or transfer of assets.
Force Majeure: Lumi is not liable for delays or failure due to events beyond its reasonable control.
Survival: Sections that by their nature should survive termination do survive, including but not limited to Disclaimers, Limitation of Liability, Indemnification, Governing Law/Venue, and Miscellaneous.
